There are numerous corporate services that upon request Advokat LLC may provide to our American and International clients. Some of these services may be not only corporate and LLC services, but also some of the services that are unique by the state of Delaware, such as Franchise Taxes services, related to the payment of Franchise Tax in a timely fashion to avoid late payment, penalty and interest. Advokat LLC provides free Franchise Tax Payment Service" which includes: 1. No Payment to Advokat LLC for the year, that is for the calendar year in which your business was formed or incorporated. 2. Upon receipt, from the client, of the Registered Agent and Franchise Tax Payment, Advokat LLC, in order to insure that the payment will reach Delaware Franchiser Tax Office in a timely fashion, will process all the necessary paperwork and submit the payment, for the international LLC or for the domestic LLC, as soon as possible, in the client's name, thus taking the worry out of the client's life and assuring that the company remains in "Good Standing" with the State of Delaware.

Amendment Service: After your business is incorporated or registered as a Limited Liability Company, you may decide to make some changes, including the change of the name of the company, or simply to change from a corporation to a Limited Liability Company or to make some amendments/changes for numerous other reasons. Some required steps, by the Delaware Department of State, must be taken in order to obtain the Certificate of Amendment, Advokat LLC will be very happy to do it for you, even if you did not incorporate or form a LLC with us.

Apostle: De la Hague Convention, of 1961, (of which US has been a member since 1981) abolished requirement of Legalization by the client's Embassy located in US, of Foreign Public Documents if they are intended for the member-county of the La Hague Convention. These documents may be "Apostle" by the Delaware Department of State, thus eliminating extra steps, time and save money for the client.

Certificate of Good Standing: Is a very important document issued by the state of Delaware which Advokat LLC, as your Delaware Registered Agent will obtain for you. It certifies that your company is in good standing with the state of Delaware and that your Franchise Tax has been paid, as required by Law.

Certified Certificate of Good Standing: If you need certified Certificate of Good Standing, we will ask the Delaware Department of State to certify it for your company. This is a very important document for corporations and limited liability companies, it verifies that your company paid its Delaware Annual Franchise Tax, and is real Delaware legal entity.

Minutes and Bylaws of a Corporation: When a Corporation is incorporated and registered with the State of Delaware, directors of the International corporation or a domestic corporation, may decide to enter into an "agreement" among themselves to show and express their wishes on how to run the business, outline some general provisions on how the everyday business of their corporation should be conduced and perhaps make some additional provisions.

Operating Agreement: When a Limited Liability Company is formed and registered with the state of Delaware, members of the International LLC or a Domestic LLC may decide to enter into an "agreement" among themselves on how to run the business, and general provisions on how the everyday business of the LLC company should be conducted and also how the profits or losses will be distributed.

Registered Agent: State of Delaware (like most of the remaining 49 states) requires that each Delaware corporation or Delaware LLC has its Delaware Registered Agent. You or your business does not have to be physicality located in the state of Delaware, but your Registered Agent MUST be located in the state of Delaware. Advokat LLC as your Registered Agent is physically located in the State of Delaware and therefore will accept any legal or official government information in the name of your corporation or Limited Liability Company.

Registered Agent Fee for the First Calendar year: Advokat LLC does NOT charge its clients Registered Agent Fee for the first calendar year, that is the year in which the business was registered with the State of Delaware.

"S" Corporation Conversion: After successful formation of a "C" corporation the client may decide to convert his/her corporation to an "S" corporation, for additional benefits in managing the business and taxation. Advokat LLC will be very happy to help with conversion.
