The Court of Chancery goes back centuries to the period of Feudal England. The Court started out of necessity, when English merchants met to discuss and share their business problems. These merchants selected their most respected and experienced members to serve as arbitrators, thus forming the early English “Merchant Courts.” With time, the Merchant Courts developed into High Court of Chancery of Great Britain. Later, with the coming of settlers to the new world, a similar court began to evolve in the American colonies, and was first established as the first separate Court of Chancery in 1792, first in the colonies and later on in the newly created State of Delaware. As the law developed in the newly formed states, all but one State eliminated their Court of Chancery. Delaware was the only state that did not eliminate its Court of Chancery.

Today, 90 percent of all of the cases the Delaware Court of Chancery handles are corporate equity matters, making it a court of experts. The Court has a Chancellor and 4 Vice Chancellors, and is not only well known in Delaware and the rest of the United States, but is also internationally renowned. The Court is frequently called upon to resolve some of the most complicated and unusual questions of corporate law.

The Court of Chancery is directly responsible for Delaware becoming known as the “Corporate State” or “Corporate Capital," and also for having :

• More than 50% of all of the so called “Fortune 500" corporations incorporated in Delaware.
• More than one third (1/3) of all companies listed on the New York Stock Exchange incorporated in Delaware.
